Ariane (“Ari”) Vinograd is a seasoned corporate and securities attorney whose experience spans complex cross-border transactions, securities offerings, and high-stakes corporate advisory work for global clients. Prior to joining Hajjar Peters LLP, Ari served as senior counsel at two of the world’s most prestigious law firms—Latham & Watkins LLP and Cravath, Swaine & Moore LLP—in New York and London, where she advised public and privately held companies, boards, and financial institutions on sophisticated corporate matters and capital markets transactions frequently exceeding the billion-dollar threshold.
Ari’s transactional background includes the representation of issuers, sponsors, and financial institutions in secured and unsecured international capital markets offerings, with a particular emphasis on Rule 144A and Regulation S high-yield debt offerings, as well as SEC-registered equity and debt financings for acquisition transactions, leveraged recapitalizations, restructurings, refinancings, and IPOs. Typical transaction values ranged from $350 million to over $1 billion, and regularly involved multi-jurisdictional regulatory and disclosure considerations.
As part of her practice, Ari regularly counsels corporate clients on ongoing reporting, covenant compliance, and disclosure obligations arising under complex debt instruments and securities laws. Her practice involves the drafting and negotiation of highly structured transaction agreements, including indentures, underwriting and purchase agreements, registration statements, offering memoranda, legal opinions, credit agreements, security instruments, and commitment and engagement letters. She also advises on corporate governance, regulatory compliance, and risk mitigation strategies in connection with U.S. and international securities regulations.
